Investment changes the relationship between founders, existing shareholders and incoming investors. The legal framework must therefore address significantly more than the amount invested and the percentage of ownership being issued.

Before approaching investors, we help organize corporate records, capitalization information, founder arrangements, material contracts, intellectual property ownership and governance documentation so that avoidable legal issues do not emerge during due diligence.

As negotiations progress, we advise on term sheets, subscription arrangements, shareholders’ agreements and related transaction documents. Particular attention is given to governance rights, reserved matters, board representation, information rights, transfer restrictions, liquidation preferences, anti-dilution protections, founder obligations and exit provisions.

We also support investors by conducting legal due diligence and reviewing the protections required before committing capital.

Our objective is to ensure that the parties understand not only what is being agreed at closing, but how those rights and obligations will affect ownership, control and future financing after the investment has been completed.
